FEES AND PAYMENTS. If you paid for a premium membership via PayPal using their secure order form, membership fees will be automatically renewed per period subscribed. You may cancel this automatic renewal feature at any time in your PayPal account, and your Invetrics.com account may revert back to the membership level status. Users who paid for their personal membership by personal check will not receive a renewal notice and are responsible for renewing their account before the expiration date. You can always find the current Membership Fees (applicable to premium members only) and charges posted in the Invetrics.com Membership page of our website. All fees are due in advance. If you believe someone has accessed Invetrics.com using your user name and password without your authorization, you must contact the Invetrics.com support team. If you are not satisfied with Invetrics.com, you may cancel your premium paid account at any time and your credit card will not be charged any additional membership fees. Premium membership fees paid are not prorated and they are non-refundable. Unless you request and obtain prior written authorization from our staff through a support ticket, if you cancel your initial premium trial membership, you will not be entitled to another trial period again (i.e., you hereby agree that your credit card will be charged starting with the first day of any subsequent trial period you initiate for a premium membership, rather than after the last day of such subsequent trial period.)

RESTRICTIONS ON USE. All materials published by MKD, including, but not limited to website pages, posts, charts, videos, images, illustrations, price information, reviews and email newsletters (“Information”) are protected by copyright, and owned or controlled by MKD or it’s third-party providers. You must access the information manually by request and not programmatically by macro or other automated means. You may not use the contents for any unlawful purpose.

Failure to comply with the foregoing shall constitute a breach of this Agreement, which may result in immediate termination of your account. You shall be responsible for maintaining the confidentiality of your password. You shall notify the support team, of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password. You are responsible for all usage or activity on your Invetrics.com account, including use of the Invetrics.com account by any third party authorized by you to use your subscriber ID and password. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at MKD’s sole discretion, and MKD may refer you to appropriate law enforcement agencies. You agree that excessive simultaneous account log-ins from different IP addresses may result in additional credit card charges or termination of your service. You also agree that the website may limit how many Internet IP addresses you may use in a given day to access your account.

INDEMNIFICATION.  You hereby indemnify, defend and hold harmless MKD and all officers, directors, shareholders, agents, information providers, affiliates, licensees and licensees (collectively, the “Indemnified Parties”) from and against any and all liability and costs, including, without limitation, reasonable attorneys’ fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you or any user of your Invetrics.com account of this Agreement or the foregoing representations, warranties and covenants. You shall cooperate as fully as reasonably required in the defense of any such claim. MKD reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

TERMINATION.  Invetrics.com may discontinue or change Invetrics.com, or its availability to you, in whole or in part, at any time and without prior notice.  You may terminate your paid Invetrics.com account at any time by cancelling your subscription in PayPal. It is your responsibility to manage any cancellation of paid membership by simply cancelling your Invetrics.com subscription in your PayPal account prior to the expiration of any trial or prior to your next scheduled payment, whatever the case may be. This automatically cancels your paid membership on our web site. If for some reason you would like our staff to cancel your membership, rather than doing it on your own by logging into your own PayPal account, you first need to pay our web site a non-refundable $75 fee for our staff’s time to process your request, and upon receipt of such payment we’ll be happy to do it for you.  However, you need to allow for up to three business days from receiving your fee payment for processing your request. By accepting these terms of use, you hereby understand and explicitly agree that membership fees already paid are not prorated and they are not refundable.  You also hereby understand and explicitly agree that PayPal or any other credit card company or institution involved is obligated to resolve any dispute arising regarding this matter in favor of MKD. Upon termination, your access to Invetrics.com will be suspended at the paid membership level upon expiration of your paid subscription. You may subsequently still have access to any free features of Invetrics.com that are available. Any data stored on Invetrics.com’s servers as part of your Invetrics.com account may be lost.

PRIVACY POLICY. By accepting this Agreement you indicate that you have read, acknowledge, and hereby consent to our use of cookies, our Privacy Policy, and MKD sending you occasional marketing communications (opt in.)

NO ASSIGNMENT.  This Agreement is personal to you, and you may not assign your rights or obligations to anyone.

MODIFICATION OF THESE TERMS AND CONDITIONS. MKD reserves the right to change this Terms of Use Agreement at any time and without prior notice, by revising the terms and conditions herein, including, but not limited to, adding fees for future use of previously free content, or changing fees for paid premium content. You are responsible for regularly reviewing these terms and conditions. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by means including, but not limited to, posting on Invetrics.com website, or by electronic or conventional mail. Continued use of this Invetrics.com website following any such changes shall constitute your acceptance of such changes.

GENERAL. This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the State of Texas, U.S.A. You consent to the exclusive jurisdiction and venue of courts in Travis County, Texas, U.S.A. in all disputes arising out of or relating to the use of this Invetrics.com website. Use of this Invetrics.com website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

SEVERABILITY. If any provision of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remaining provisions of the Agreement shall continue in full force and effect.

ENTIRE AGREEMENT. This Agreement constitutes the entire Agreement between you and MKD with respect to this Invetrics.com website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and MKD with respect to this website. A printed version of this Agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

SIGNATURE. By selecting the “I Agree” on the Membership web page, I represent and acknowledge that  I have read, understood, and consented to electronic delivery of the disclosures above, and I agree to enter into a legally binding contract based on the above terms and conditions. I also represent and acknowledge that I intend the act of selecting “I Agree” on the Membership web page to be my legal signature to this Agreement.
